1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of Contismo and all related websites, applications, APIs and services (collectively, the "Services").

By creating an account, accessing or using the Services, you agree to be bound by these Terms.

2. About the Service

Contismo is a cloud-based content management platform designed to enable individuals, businesses and organisations to create, manage, structure and deliver content through APIs and related publishing tools.

We may improve, modify, replace or discontinue features from time to time.

3. Accounts

You are responsible for:

  • maintaining the confidentiality of your account credentials;
  • ensuring information provided to us remains accurate;
  • all activity undertaken through your account.

You must notify us promptly if you become aware of unauthorised access to your account.

4. Subscription Plans and Billing

Certain features of the Services are available through paid subscription plans.

Subscriptions are billed in accordance with the pricing displayed on our website or otherwise agreed with you.

Subscriptions automatically renew unless cancelled before the next billing period.

Payments are processed securely through Stripe or other payment providers we may use from time to time.

You may manage, upgrade, downgrade or cancel subscriptions through your account dashboard where available.

Except where required by law, subscription fees are non-refundable.

5. Beta Services

From time to time, we may designate features, functionality or parts of the platform as Beta Services.

Beta Services are provided for evaluation and feedback purposes and may:

  • contain bugs, errors or performance issues;
  • change without notice;
  • be modified, suspended or withdrawn at any time;
  • not be subject to the same testing or support standards as generally available features.

While we will use reasonable efforts to maintain service quality, you acknowledge that Beta Services are provided on an experimental basis.

Nothing in this section affects your statutory rights.

6. Customer Content

You retain ownership of all content, assets, data, media and materials uploaded to the Services ("Customer Content").

You grant us a non-exclusive licence to host, store, process, transmit and display Customer Content solely to provide, secure, improve and operate the Services.

You are solely responsible for the legality, accuracy and suitability of Customer Content.

7. Restricted Data

Unless expressly agreed by us in writing, you must not upload, store or process through the Services:

  • health information;
  • biometric data;
  • genetic data;
  • criminal conviction data;
  • information revealing racial or ethnic origin;
  • information revealing political opinions;
  • information revealing religious or philosophical beliefs;
  • trade union membership information;
  • any other special category personal data as defined by applicable data protection laws.

If such data is uploaded, you do so at your own risk and remain solely responsible for ensuring a lawful basis for processing.

8. Acceptable Use

You must not:

  • use the Services unlawfully;
  • upload malicious code;
  • attempt to gain unauthorised access;
  • interfere with platform security or performance;
  • reverse engineer the Services except where permitted by law;
  • infringe intellectual property rights;
  • distribute unlawful, harmful, fraudulent or defamatory content.

We may suspend or terminate accounts that breach this section.

9. Intellectual Property

All intellectual property rights in the Services, software, APIs, documentation, branding and website remain owned by Webumo Ltd or its licensors.

Except as expressly permitted under these Terms, no rights are granted to you.

10. Backups

We maintain platform backups and currently retain backups for approximately 30 days.

However, you remain responsible for maintaining independent copies of important Customer Content.

We do not guarantee that any lost content can be restored.

11. Availability and Support

We aim to provide a reliable and continuously available service.

However, we do not guarantee uninterrupted availability and may perform maintenance, upgrades or emergency work from time to time.

Support is provided by email and, where available, through our ticketing system.

Unless expressly agreed in writing, we do not provide guaranteed response times or service level commitments.

12. Warranties

We will provide the Services using reasonable skill and care.

Except as expressly stated in these Terms, the Services are provided on an "as available" and "as is" basis.

To the fullest extent permitted by law, all implied warranties and conditions are excluded.

13. Limitation of Liability

Nothing in these Terms excludes or limits liability for:

  • death or personal injury caused by negligence;
  • fraud or fraudulent misrepresentation;
  • any liability which cannot lawfully be excluded.

Subject to the above:

  • we shall not be liable for indirect or consequential losses;
  • we shall not be liable for loss of profits, revenue, goodwill, anticipated savings or business opportunities;
  • we shall not be liable for loss of data except to the extent caused by our wilful misconduct;
  • our total aggregate liability arising from the Services shall not exceed the greater of £100 or the total fees paid by you during the 12 months preceding the claim.

14. Suspension and Termination

We may suspend or terminate access where:

  • you breach these Terms;
  • payment is overdue;
  • continued provision would be unlawful;
  • security concerns require action.

You may stop using the Services at any time.

Following termination, we may delete Customer Content after a reasonable retention period.

15. Changes to These Terms

We may update these Terms from time to time.

Material changes will be communicated through the platform, website or email.

Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by the laws of England and Wales.

Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
